Carta Convenio entre la República del Perú y los Estados Unidos de América sobre la Donación Adicional de Doscientos Cincuenta Ventiladores Mecánicos

Asunto: Donación de 250 Ventiladores Zoll
Excelencia,
Conforme a la autoridad en la sec. 635 y 104 de la Ley de Asistencia al Exterior de 1961, y sus enmiendas (“FAA”), la Agencia de los Estados Unidos para el Desarrollo Internacional (USAID) por la presente otorga al Gobierno del Perú (en adelante, GdP o Receptor) una contribución adicional en especie de 250 (doscientos cincuenta) ventiladores Zoll, suministros y el contrato de servicios para continuar asistiendo al Perú en su lucha contra el COVID-19. USAID previamente otorgó al Gobierno del Perú una contribución en especie de 250 (doscientos cincuenta) ventiladores Zoll y suministros el 23 de Junio del 2020. El equipo, los suministros y el contrato de servicios a ser donados en esta donación, incluyendo el costo, la información de garantía del fabricante, las especificaciones técnicas, el manual de operación, las especificaciones de la serie, y un contrato de servicios de apoyo para la donación total de los 500 (quinientos) ventiladores, se describen en el Anexo 1 (en adelante referidos como “Equipo, Suministros y Contrato de Servicios de Apoyo”). Esta donación en especie es suplementaria a la contribución proporcionada bajo el Convenio de Donación 527-0426 y sus enmiendas, y no se contabiliza para el cálculo de la Contribución Total Estimada bajo la Sección 3.1(b) del Convenio de Donación.
Al aceptar el Equipo, Suministros y Contrato de Servicios de Apoyo, el GdP acepta los términos de esta donación. El punto de contacto del GdP designado en el Anexo 2 (en adelante Punto del Contacto del GdP) deberá acusar recibo del Equipo, Suministros y Contrato de Servicios de Apoyo mediante el Recibo de Contribución en Especie de Equipo, Suministros y Contrato de Servicios de Apoyo en el Anexo 3 de esta donación, el cual debe remitirse al punto de contacto de USAID designado en el Anexo 2 (en adelante Punto de Contacto de USAID).
El Equipo, Suministros y Contrato de Servicios de Apoyo proporcionado mediante la presente se transfiere al GdP para ser recibido por el Ministerio de Salud “tal y como está” en la base de la Fuerza Aérea del Perú en El Callao o en el Aeropuerto Internacional Jorge Chávez. USAID no es responsable y no ofrece ninguna garantía con respecto a la capacidad de Servicios, aptitud, condición o seguridad de operación del Equipo, incluidos los materiales que lo componen. El GdP no responsabilizará a USAID ni a su personal por costos de ningún tipo, incluidos, entre otros, los costos de envío, los gastos de aduana, los cargos incurridos por el transporte u otros costos asociados con el Equipo y Suministros.
Sujeto a los términos de esta donación, el título sobre los materiales será transferido al GdP inmediatamente al recibir la contribución en especie y la recepción del Equipo, Suministros y Contrato de Servicios de Apoyo. A partir de la transferencia del título, el GdP asumirá todas las responsabilidades relacionadas con la propiedad del Equipo, Suministros y Contrato de Servicios de Apoyo, incluyendo la responsabilidad por el uso adecuado del Equipo, Suministros y Contrato de Servicios de Apoyo de acuerdo con el Anexo 1 y el Anexo 4, incluidos, entre otros, todos los riesgos de pérdida o daño del Equipo y Suministros y los costos derivados de reclamos de terceros contra el Gobierno de los EE. UU. o su personal relacionados con el uso del Equipo y Suministros. En ningún caso USAID o su personal serán responsables ante el GdP por cualquier reclamo, daños, pérdidas, costos, gastos y responsabilidades que surjan, se relacionen o resulten del uso del Equipo, Suministros, y Contrato de Servicios de Apoyo. El GdP no responsabilizará a USAID o su personal por cualquier reclamo, daños, pérdidas, costos, gastos y responsabilidades que surjan, se relacionen con o resulten del uso del Equipo, Suministros y Contrato de Servicios de Apoyo.
El GdP acuerda que el Equipo, Suministros y Contrato de Servicios de Apoyo provistos bajo esta donación en especie no serán utilizados para propósitos de las fuerzas militares, policiales o de seguridad, o de prisiones, ni serán brindados para apoyar a individuos y organizaciones asociadas con el terrorismo. El GdP asegurará que cualquier sub-donatario del Equipo, Suministros y Contrato de Servicios de Apoyo cumpla con los términos y condiciones de esta donación. Ningún material proporcionado al GdP bajo esta donación podrá ser vendido o exportado desde el Perú.
Por favor, sírvase aceptar la presente donación y firmar el original y cada copia de esta carta a fin de acusar recibo de la misma, conservando una copia para sus archivos, y retornando las copias restantes al Punto de Contacto designado de USAID.

Subject: Second Donation of 250 Zoll Ventilators
Your Excellency:
Pursuant to the authority contained in sec. 635 and 104 of the Foreign Assistance Act of 1961, as amended, the U.S. Agency for International Development (USAID) hereby provides the Government of Peru (“GOP”)(Recipient) an additional in-kind contribution of 250 (two hundred and fifty) Zoll ventilators, supplies, and service support contract to continue to assist Peru in its fight against COVID-19. USAID provided an initial in-kind contribution of 250 Zoll ventilators and supplies on June 23, 2020. The equipment, supplies, and service support contract to be donated herein, including the cost, manufacturer’s warranty information, technical specifications, operator’s manual, series specification, and a service support contract for the total donation of 500 (five hundred) ventilators, as described in Attachment 1 (referred to herein as the “Equipment, Supplies and Service Support Contract”). This in-kind contribution is supplemental and apart from assistance provided under Assistance Agreement No. 527-0426, as amended and does not count toward the Total Estimated Contribution under Section 3.1(b) of the Assistance Agreement.
By accepting the Equipment, Supplies, and Service Support Contract , the GOP agrees to the terms of this donation. The GOP point of contact designated in Attachment 2 (“GOP POC”) must acknowledge receipt of the Equipment, Supplies and Service Support Contract with the Receipt of In-Kind Equipment, Supplies, and Service Support Contract set forth as Attachment 3 of this donation, which must be submitted to the USAID point of contact designated in Attachment 2 (“USAID Equipment POC”).
The Equipment, Supplies and Service Support Contract provided hereunder is transferred to the GOP and is to be received by the Ministry of Health “as is” at the Peruvian Air Force Base in Callao or the Jorge Chavez International Airport. USAID is not responsible for, and makes no warranty regarding the serviceability, fitness, condition, or safety of operation of the Equipment, including its component materials. USAID is not responsible for the costs of any kind, including, without limitation, shipping costs, customs clearances, charges incurred for transportation or otherwise associated with the Equipment and Supplies.
Subject to the terms of this donation, title to the materials will transfer to the GOP immediately upon receipt of this in-kind grant and receipt of the Equipment, Supplies, and Service Support Contract. Following transfer of title, the GOP, will assume all responsibilities incident to ownership of the Equipment, Supplies and Service Support Contract, including accountability for the proper use of the Equipment and Supplies in accordance with Attachment 1 and Attachment 4, including but not limited to all risks of loss of, or damage to, the Equipment and Supplies and costs arising from third party claims against the U.S. Government or its personnel related to the use of the Equipment and Supplies. In no event shall USAID or its personnel be responsible to the GOP for any claims, damages, losses, costs, expenses, and liabilities arising out of, relating to, or resulting from the use of the Equipment, Supplies, and Service Support Contract. The GOP shall hold harmless and indemnify USAID and its personnel against any claims, damages, losses, costs, expenses, and liabilities arising out of, relating to, or resulting from the use of the Equipment, Supplies, and Service Support Contract.
The GOP agrees that the Equipment, Supplies, and Service Support Contract provided under this in-kind grant will not be made available for the purposes of the military, police, security forces, or prisons, nor will it be provided to support individuals and organizations associated with terrorism. The GOP shall ensure that any sub- recipients of the Equipment, Supplies and Service Support Contract shall comply with the terms of this donation. No materials provided to the GOP under this donation may be sold or exported from Peru.
Please accept this donation by signing the original and each copy of this letter, retaining one copy for your records and returning the remaining copies to the designated USAID POC.

Previously provided were Attachments 1.1 and 1.2 and 1.3, the Operator’s Manual and Series Specification,and the Manufacturer’s Guarantee, respectively. Attachment 1.3 is superseded and replaced in its entirety by Attachment 1.3-Updated, the Warranty, Installation and Training, Maintenance and Service Support Contract (Service Support Contract). The Service Support Contract is valid and applies to the total donation of 500 (five hundred) Zoll ventilators, as described below in Section C.

B. The GdP will provide USAID within 30 (thirty) business days from the date of receipt of the Equipment and Supplies, a list of MOH hospitals, clinics, health providers that will receive the Equipment as well as relevant criteria to determine need.

C. Service Support Contract
In addition to the Equipment and Supplies described above, USAID will provide, consistent with Item 4 above, a one-year Warranty, Installation and Training, Maintenance and Service Support Contract (Service Support Contract) with Zoll. The Service Support Contract provisions are stated in Attachment 1.3-Updated and may include the following:
● Uncrating and assembling the ventilator;
● Performing a pre-use check and inspection of the ventilator;
● Installing the ventilator at the hospital;
● Providing clinical training with healthcare workers;
● Performing a periodic maintenance prior to the expiration of the service contract;
*Please note the battery is warranted for ninety (90) days.
C. Contrato de Servicios de Apoyo
Además del Equipo y Suministros descritos anteriormente, USAID proporcionará de acuerdo al Ítem 4 arriba, un contrato de un año con Zoll que incluye La Garantía del Fabricante, Instalacion y Capacitacion, Mantenimiento y el Contrato de Servicios de Apoyo (Contrato de Servicios de Apoyo). Los términos del Contrato de Servicios de Apoyo se establecen en el Anexo 1.3-Actualizado y pueden incluir lo siguiente:

ATTACHMENT 4
Guidelines for Use
Upon receipt of the Equipment and Supplies, the GOP must incorporate the Equipment and Supplies into its inventory, establish adequate controls for its use and ensure adequate safeguards to prevent loss, damage or theft of the items. The GOP must ensure that the Equipment and Supplies are used solely in accordance with the technical specifications information from the manufacturer set forth in Attachment 1.1, Attachment 1.2, and Attachment 1.3-Updated for the purpose of COVID-19 response efforts. In the event that the GOP’s COVID-19 response efforts no longer require the Equipment and Supplies, the GOP may use the Equipment and Supplies to improve the health of the people of Peru, in GOP-designated medical facilities, in accordance with the technical specifications and manufacturer information set forth in Attachment 1.1.Operator’s Manual, Attachment 1.2. Series Specification, and Attachment 1.3-Updated Warranty, Installation and Training, Maintenance and Service Support Contract (Service Support Contract), and the guidelines for use stated in this Attachment 4.
The GOP will include in its inventory a description of the items, the activity name (“COVID-19 response”) and date received. The GOP must maintain for three years from the date of this donation records adequate to show receipt, location, condition, maintenance and use of the Equipment and Supplies, will provide USAID reports regarding such matters as USAID may reasonably request, and will afford authorized representatives of USAID or its designees the opportunity, at reasonable times, to inspect the Equipment and Supplies and records relating thereto. Financial records, supporting documents and all other records pertinent to the Equipment and Supplies and its use and distribution must be retained by the GOP for a period of three years from the date of this donation and are subject to inspection by USAID.
In order to maintain the programmatic benefits anticipated by this donation, and to further USAID’s and the GOP’s strong partnership in responding to COVID-19 in Peru, the GOP must also provide written notice to the USAID POCs listed in Attachment 2 prior to moving any Equipment and Supplies from the locations identified in Attachment 1 by the GOP for a period of three years following the initial placement of said Equipment and Supplies. The GOP must also provide written notification within 15 (fifteen) days of installation of the ventilators, to the USAID POCs listed in Attachment 2, certifying that the Equipment and Supplies provided have been installed and are functional. USAID reserves the right to conduct inspections to confirm the location and use of the Equipment and Supplies.
The GOP will register, certify, record or otherwise document the Equipment and Supplies as required under applicable law, including to record ownership in the GOP’s name, if necessary, and the GOP will pay any applicable taxes or other charges in connection with such registration or transfer in the event exemptions are not available.
The GOP will take reasonable steps to ensure that USAID’s identity (logo) is, and continues to be, displayed, in accordance with USAID regulations and policies (regarding Branding and Marking), once the Equipment and Supplies are distributed.
ANEXO 4
Lineamientos de Uso
Al recibir el Equipo y Suministros, el GdP debe incorporar el Equipo y Suministros a su inventario, establecer controles adecuados para su uso y asegurar garantías adecuadas para evitar la pérdida, daño o robo de los artículos. El GdP debe asegurarse de que el Equipo y Suministros se usen únicamente de acuerdo a información de especificaciones técnicas del fabricante establecidos en el Anexo 1.1, el Anexo 1.2 y el Anexo 1.3- Actualizado para los esfuerzos de respuesta de COVID- 19. En el caso de que los esfuerzos de respuesta COVID-19 del GdP ya no requieran el Equipo y Suministros, el GdP puede usar el Equipo y Suministros para mejorar la salud de la gente del Perú en las instalaciones médicas designadas por el GdP, de acuerdo con las especificaciones técnicas y la información del fabricante establecidos en el Anexo 1.1 Manual de Operación, Anexo 1.2 Especificaciones de la Serie, y Anexo 1.3-Actualizado La Garantía del Fabricante,Instalación y Capacitación, Mantenimiento y el Contrato de Servicios de Apoyo (Contrato de Servicios de Apoyo), así como los lineamientos para el uso establecidos en este Anexo 4.
El GdP incluirá en su inventario, una descripción de los artículos, nombre de la actividad (Respuesta a COVID-19) y fecha de recepción. El GdP deberá mantener durante tres años a partir de la fecha de esta donación los registros adecuados para mostrar la recepción, la ubicación, la condición, el mantenimiento y el uso del Equipo y Suministros; proporcionará informes a USAID con respecto a los asuntos que USAID pueda solicitar razonablemente, y proporcionará a los representantes autorizados de USAID o sus designados la oportunidad, en tiempos razonables, de inspeccionar el Equipo y Suministros y los registros relacionados con los mismos. El GdP debe conservar los registros financieros, los documentos de respaldo y todos los demás registros pertinentes al Equipo y Suministros, su uso y distribución, durante un período de tres años a partir de la fecha de esta donación, estando sujetos a inspección por parte de USAID.
Para mantener los beneficios programáticos anticipados por esta donación, y para fomentar la sólida asociación entre USAID y el GdP en responder al COVID-19 en el Perú, el GdP también deberá proporcionará aviso por escrito a los Puntos de Contacto de USAID señalados en el Anexo 2 antes de mover cualquier Equipo y Suministros desde los lugares identificados en el Anexo 1 por el GDP por un periodo de tres años a partir del emplazamiento inicial del Equipo y Suministros señalados. El GdP también deberá proveer una notificación por escrito 15 (quince) días después de la instalación de los ventiladores, al Punto de Contacto de USAID señalado en el Anexo 2, certificando que el Equipo y Suministros provistos en la donación han sido instalados y están en funcionamiento. USAID se reserva el derecho de realizar inspecciones para confirmar la ubicación y el uso del Equipo y Suministros.
El GdP registrará, certificará, llevará registros o documentará el Equipo y Suministros según lo requerido por la ley aplicable, incluso para registrar la propiedad a nombre del GdP, si es necesario, y el GdP pagará los impuestos u otros cargos aplicables en relación con dicho registro o transferencia en el caso que exenciones no estén disponibles.
El GdP tomará medidas razonables para garantizar que la identidad (logotipo) de USAID se muestre y continúe mostrándose de acuerdo con las regulaciones y políticas de USAID (relacionadas a Logo e Identificación) cuando se distribuya el Equipo y Suministros.
