Enmienda No. Dieciocho al Convenio de Donación entre los Estados Unidos de América y la República del Perú

ENMIENDA No. DIECIOCHO de fecha 30 de junio del 2020, entre los Estados Unidos de América, representado por la Agencia de los Estados Unidos para el Desarrollo Internacional ("USAID"), y la República del Perú ("Donatario"):

AMENDMENT No. EIGHTEEN, dated June 30, 2020, between the United States of America, acting through the United States Agency for International Development ("USAID"), and the Republic of Peru ("Grantee"):

POR CUANTO, el Donatario y USAID celebraron el Convenio de Donación 527-0426 el 20 de setiembre del 2012 (el “Convenio”);

WHEREAS, the Grantee and USAID entered into Assistance Agreement 527-0426 dated September 20, 2012 (the “Agreement”);

POR CUANTO, el Donatario y USAID enmendaron el Convenio el 19 de Julio del 2013 (Enmienda No. Uno), el 21 de Setiembre del 2013 (Enmienda No. Dos), el 26 de Agosto del 2014 (Enmiendas No. Tres y No. Cuatro), el 30 de Setiembre del 2014 (Enmienda No. Cinco), el 21 de Enero del 2015 (Enmienda No. Seis), el 30 de Setiembre del 2015 (Enmienda No. Siete), el 8 de Setiembre del 2016 (Enmienda No. Ocho), el 16 de Marzo del 2017 (Enmienda No. Nueve), el 29 de Setiembre del 2017 (Enmienda No. Diez), el 9 de Mayo del 2018 (Enmienda No. Once), el 24 de Agosto del 2018 (Enmienda No. Doce), el 17de Setiembre del 2018 (Enmienda No. Trece), el 28 de Septiembre del 2018 (Enmienda No. Catorce), el 30 de Mayo del 2019 (Enmienda No. Quince), y el 30 de Septiembre del 2019 (Enmiendas No. Dieciséis y No. Diecisiete);

WHEREAS, the Grantee and USAID amended the Agreement on July 19, 2013 (Amendment No. One), on September 21, 2013 (Amendment No. Two), on August 26, 2014 (Amendments No. Three and No. Four), on September 30, 2014 (Amendment No. Five), on January 21, 2015 (Amendment No. Six), on September 30, 2015 (Amendment No. Seven), on September 8, 2016 (Amendment No. Eight), on March 16, 2017 (Amendment No. Nine), on September 29, 2017 (Amendment No. Ten), on May 9, 2018 (Amendment No. Eleven), on August 24, 2018 (Amendment No. Twelve), on September 17, 2018 (Amendment No. Thirteen), on September 28, 2018 (Amendment No. Fourteen), on May 30, 2019 (Amendment No. Fifteen), and on September 30, 2019 (Amendments No. Sixteen and No. Seventeen);

POR CUANTO, USAID acordó donar al Donatario, sujeto a la disponibilidad de fondos, una contribución total estimada ascendente a Quinientos Cuarenta Millones de Dólares de los Estados Unidos ($540,000,000) la misma que será proporcionada en incrementos según los términos del Convenio, de los cuales Quinientos Veinte Millones Seiscientos Noventa y Ocho Mil Trescientos Diecisiete Dólares de los Estados Unidos ($520,698,317) han sido otorgados previamente; y

WHEREAS, USAID agreed to grant to the Grantee, subject to the availability of funds, a total estimated contribution of Five Hundred Forty Million United States Dollars ($540,000,000) to be provided in increments under the terms of the Agreement, of which Five Hundred Twenty Million Six Hundred Ninety-Eight Thousand Three Hundred Seventeen United States Dollars ($520,698,317) have been previously granted; and

POR CUANTO, las Partes mediante esta Enmienda No. Dieciocho desean modificar el Convenio para:

WHEREAS, the Parties through this Amendment No. Eighteen desire to amend the Agreement to:

(a) De conformidad con el ARTICULO 3, Sección 3.1(a), incrementar la Contribución de USAID en Setenta y Tres Millones Noventa y Ocho Mil Ciento Cincuenta y Siete Dólares de los Estados Unidos ($73,098,157). Este monto incluye: Sesenta y Ocho Millones Novecientos Veintitrés Mil Dólares de los Estados Unidos ($68,923,000) de contribución de USAID; Tres Millones Ciento Setenta y Dos Mil Quinientos Cincuenta y Dos Dólares de los Estados Unidos ($3,172,552) de incremento de la Cooperación Delegada del Gobierno de Canadá; y Un Millón Dos Mil Seiscientos Cinco Dólares de los Estados Unidos ($1,002,605) del Gobierno de Noruega, de conformidad con el Acuerdo de Cooperación Delegada entre USAID y la Agencia Noruega de Cooperación para el Desarrollo (NORAD) firmado el 3 de Diciembre del 2019;

(a) Pursuant to ARTICLE 3 Section 3.1(a), increase the amount granted to date in the amount of Seventy-Three Million Ninety-Eight Thousand One Hundred Fifty Seven United States Dollars ($73,098,157) This amount includes: Sixty-Eight Million Nine Hundred Twenty-Three Thousand United States Dollars ($68,923,000) from USAID Contribution; Three Million One Hundred Seventy-Two Thousand Five Hundred Fifty-Two United States Dollars ($3,172,552) an increment from the Delegated Cooperation of the Government of Canada; and One Million Two Thousand Six Hundred Five United States Dollars ($1,002,605) from the Government of Norway pursuant to the Agreement on Delegated Cooperation signed between USAID and the Norwegian Agency for Development Cooperation (NORAD) on December 3, 2019;

(b) De conformidad con el ARTÍCULO 3, Sección 3.1(b), incrementar el total de la contribución estimada de USAID por el monto de Ochenta Millones de Dólares de los Estados Unidos ($80,000,000). De este monto, Cincuenta Millones de Dólares de los Estados Unidos ($50,000,000) serán ejecutados a través del Programa Bilateral del Perú y Treinta Millones de Dólares de los Estados Unidos ($30,000,000) a través del Programa Regional para Sudamérica;

b) Pursuant to ARTICLE 3 Section 3.1(b), increase USAID’s total estimated contribution in the amount of Eighty Million United States Dollars ($80,000,000). From this amount, Fifty Million United States Dollars ($50,000,000) will be implemented through the Bilateral Program with Peru and Thirty Million United States Dollars ($30,000,000) will be implemented through the South America Regional Program;

(c) Ajustar el monto de la contribución del Donatario de conformidad con el ARTÍCULO 3, Sección 3.2(b);

(c) Adjust the Grantee’s contributions pursuant to ARTICLE 3 Section 3.2(b);

(d) Cambiar el Plan Financiero Ilustrativo adjunto como Cuadro 1 del Convenio a fin de reflejar las contribuciones requeridas y reales del Donatario así como reconocer que no se requiere Contribución del Donatario adicional bajo el Convenio; y

(d) Modify the Illustrative Financial Plan attached as Table 1 of the Agreement to reflect the Grantee’s required and actual contributions as well as an acknowledgment that no further Grantee Contribution is required under the Agreement; and

(e) Extender la Fecha de Terminación del Convenio al 30 de Septiembre del 2024.

(e) Extend the Completion Date of the Agreement to September 30, 2024.

POR CONSIGUIENTE, las Partes mediante la presente acuerdan enmendar el Convenio como sigue:

THEREFORE, the Parties hereby agree to amend the Agreement as follows:

1. El texto del ARTÍCULO 3, Sección 3.1 (a), mediante la presente es anulado en su totalidad y se sustituye con lo siguiente:

1. The text of ARTICLE 3, Section 3.1(a) is hereby deleted in its entirety and replaced with the following:

(a) La Donación: Para ayudar a alcanzar la Finalidad y Objetivos de Desarrollo establecidos en este Convenio, USAID, de conformidad con la Ley de Asistencia al Exterior de 1961 y sus enmiendas, por este medio otorga al Donatario de conformidad con los términos del Convenio el monto de Quinientos Noventa y Tres Millones Setecientos Noventa y Seis Mil Cuatrocientos Setenta y Cuatro Dólares de los Estados Unidos ($593,796,474) (la “Donación”).

(a) The Grant: To help achieve the Goal and Development Objectives set forth in this Agreement, USAID, pursuant to the Foreign Assistance Act of 1961, as amended, hereby grants to the Grantee under the terms of the Agreement the amount of Five Hundred Ninety-Three Million Seven Hundred Ninety-Six Thousand Four Hundred Seventy-Four United States Dollars ($593,796,474) (the “Grant”).

2. El texto del ARTÍCULO 3, Sección 3.1 (b), mediante la presente es anulado en su totalidad y se sustituye con lo siguiente:

(b) Contribución Total Estimada de USAID.

La contribución total estimada de USAID para alcanzar la Finalidad y los Objetivos de Desarrollo propuestos, será de Seiscientos Veinte Millones de Dólares de los Estados Unidos ($620,000,000), de los cuales Cuatrocientos Treinta Millones de Dólares de los Estados Unidos ($430,000,000) serán ejecutados en exclusividad en la República del Perú y Ciento Noventa Millones de Dólares de los Estados Unidos ($190,000,000) serán ejecutados a través del Programa Regional para Sudamérica en actividades en Perú y otros países de la región, conforme se describe en el Cuadro 1-Plan Financiero Ilustrativo del Anexo 1. La contribución de USAID será proporcionada mediante incrementos, los cuales estarán sujetos a la disponibilidad de fondos de USAID para este propósito y al acuerdo mutuo de las Partes, en el momento en que proceda a cada incremento subsiguiente. Las Partes acuerdan que con cada incremento proporcionado, se incrementará el monto total acumulado de la Donación establecido en la Sección 3.1 y consecuentemente podrá incrementar la contribución del Donatario establecida en la Sección 3.2.

(b) Total Estimated USAID Contribution.

USAID’s total estimated contribution to achievement of the Goal and Development Objectives will be Six Hundred Twenty Million United States Dollars ($620,000,000), of which Four Hundred Thirty Million United States Dollars ($430,000,000) will be implemented exclusively in the Republic of Peru and One Hundred Ninety Million United States Dollars ($190,000,000) will be implemented through the South America Regional Program for activities in Peru and other countries in the region, as described in Table 1 – Illustrative Financial Plan in Annex 1. USAID’s contribution will be provided in increments, which will be subject to the availability of funds to USAID for this purpose and the mutual agreement of the Parties, at the time of each subsequent increment, to proceed. The Parties agree that each such incremental contribution provided, if any, shall cumulatively increase the total amount of the Grant set forth in Section 3.1 and consequently may increase the Grantee’s contributions under Section 3.2.

El total de contribuciones esperadas del Donatario, tomando como base la contribución de USAID reflejada en la Sección 3.1(a), no deberá ser menor a Ciento Treinta y Seis Millones Ochocientos Cuarenta Mil Ciento Ochenta y Un Dólares de los Estados Unidos ($136,840,181), tal como se muestra en el Cuadro 1.

The total Grantee’s contribution, based on USAID’s contribution in Section 3.1(a), is expected to be at least One Hundred Thirty-Six Million Eight Hundred FortyThousand One Hundred Eighty-One United States Dollars ($136,840,181) as reflected in Table 1.

4. El Plan Financiero Ilustrativo del Convenio contenido en el Cuadro 1 es por la presente anulado en su totalidad y se sustituye por el Plan Financiero Ilustrativo adjunto a esta Enmienda como Cuadro 1.

4. The Illustrative Financial Plan contained in Table 1 of the Agreement is hereby deleted in its entirety and replaced with the Illustrative Financial Plan attached to this Amendment as Table 1.

5. El ARTÍCULO 4 del Convenio es modificado eliminando “31 de diciembre del 2020” y substituyéndolo por “30 de septiembre del 2024.”

5. ARTICLE 4 of the Agreement is hereby modified by deleting “December 31, 2020” and substituting with “September 30, 2024.”

Excepto de lo enmendado o modificado en la presente Enmienda, todos los términos y condiciones del Convenio original permanecen en plena fuerza y vigencia.

Except as expressly amended or modified in this Amendment, all terms and conditions of the original Agreement remain in full force and effect.

Accordingly no further contribution is required under the Agreement.

El Total de la Contribución del GDP está basado en el monto de la contribución de USAID al Convenio para el Programa PERU solamente. Este monto No incluye la contribución de Otros Donantes, ni el Programa Regional para Amerca del Sur. Las contribuciones del GDP a Diciembre 2018 totalizaron $145,380,865 (Carta de Ejecución No. 17) excediendo el Total Esperado de Contribuciones. Por consiguiente, ya no se requiere cotribuciones adicionales bajo el Convenio.
